Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- ServiceNow's condensed consolidated balance sheet carries a single line item, 'Strategic investments', covering its portfolio of non-marketable equity investments in privately held companies (its corporate venture activity). The balance was $2,073 million as of 30 June 2026 (Q2 FY2026 10-Q) and $1,542 million as of 31 December 2025 (FY2025 10-K), up from $472 million as of 31 December 2024. Neither filing names a single investee, discloses a per-position carrying value, or gives an ownership percentage in any investee. Per the brief, this combined balance does not size any individual holding, so the holdings array is empty rather than populated with guesses.
- Both filings state the strategic investments are 'predominantly comprised of non-marketable equity investments' measured under the measurement alternative (cost minus impairment, plus or minus observable price changes), with a smaller remainder in equity-method investments and available-for-sale debt securities. During H1 FY2026 the company recorded a $360 million net upward fair-value adjustment on strategic investments (a $273 million favorable adjustment in Q2 alone), which is the primary driver of the $531 million increase in the balance since year end; this is a portfolio-wide mark, not attributable to any named company.
- The 2026 DEF 14A's 'Security Ownership of Certain Beneficial Owners and Management' table reports BlackRock at 91,252,660 shares (8.8%) and The Vanguard Group at 90,591,730 shares (8.7%), both sourced by the proxy to Schedule 13G/A filings as of 31 December 2024 (BlackRock filed 5 Feb 2025). These are stale relative to each manager's own, more recent Form 13F-HR filings (BlackRock as of 30 June 2026, Vanguard as of 31 December 2025) used in the register above. The register uses the managers' own, more recent 13F data, consistent with the brief's preference for primary filings.
- ServiceNow has a single class of common stock, $0.001 par value, one vote per share. There is no dual-class structure. Frederic B. Luddy, the company's founder, is a former President, CEO and Chief Product Officer (he departed the CEO role in 2011 and the executive ranks well before this filing) and now serves solely as a non-executive director; his 768,565-share position is included in the register as an insider row but flagged as a founder/former-officer holding rather than a currently serving officer's, per the brief's guidance to distinguish the two.
- Register denominators, kept apart per the brief: the 30 June 2026 13F rows (BlackRock, State Street, Morgan Stanley, Geode, JPMorgan, FMR) use 1,033,862,000 shares outstanding, from the Q2 FY2026 10-Q balance sheet (period ended 30 June 2026, filed 23 July 2026). The Vanguard row is for the quarter ended 31 December 2025 and uses 1,047,278,000 shares outstanding from the FY2025 10-K balance sheet (filed 29 January 2026). The four insider rows use the 2026 proxy statement's own denominator of 1,036,155,572 shares as of 28 February 2026, the date stated for the beneficial ownership table itself (a separate, later Record Date of 23 March 2026 for voting purposes reported 1,036,156,701 shares outstanding, essentially the same figure but not the one the ownership table itself uses).
- Market capitalization of $128.2 billion is the figure published by stockanalysis.com as of 14 August 2026, at a share price of $124.00. Cross-check: 1,033,862,000 shares x $124.00 implies approximately $128.2 billion, consistent.
- 13F-derived share prices imply roughly $153/share for ServiceNow as of 31 December 2025 (Vanguard filing) and roughly $99/share as of 30 June 2026 (the six Q2 2026 filers, cross-checked across BlackRock, State Street, Geode, Morgan Stanley, JPMorgan and FMR, all landing within a narrow $99.19 to $99.97 per-share range), versus $124.00 as of 14 August 2026. This is a large intra-year price swing rather than a data error; it is left unexplained here since no news research was performed on it within the time budget.

Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether any specific, named privately held company sits inside ServiceNow's combined $2,073 million (30 June 2026) or $1,542 million (31 December 2025) 'strategic investments' balance sheet line, and at what carrying value or ownership percentage. Searched both the Q2 FY2026 10-Q and the FY2025 10-K for 'non-marketable', 'strategic investment', 'ServiceNow Ventures', 'equity securities without readily' and 'measurement alternative'; neither filing names a counterparty, discloses a per-position value, or states an ownership percentage in any investee.
- ServiceNow's Q3 FY2026 10-Q, covering the quarter ending on or about 30 September 2026, was not yet filed as of 17 August 2026 (per the EDGAR submissions feed for CIK 0001373715). Any strategic investment taken or resized during that quarter would not yet be visible.
- The 23,960-share discrepancy between the sum of the 15 individually named rows in the proxy's beneficial ownership table (3,590,063) and the proxy's own reported aggregate for 'All current executive officers, directors and nominees as a group (15 persons)' (3,566,103) was not resolved. Possible explanations (overlapping beneficial ownership counted once, Jonathan C. Chadwick's inclusion as a non-renominated director, or a proxy arithmetic rounding difference) were considered but not confirmed against any further disclosure within the time budget.
- No sovereign wealth fund position (e.g. Norges Bank, GIC, Temasek) could be sourced; such funds typically hold ServiceNow through global index mandates and, like most non-US institutions, do not file Form 13F, so no primary share count is available by that route within the time budget.
- Capital Group / Capital Research and T.
