Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- The 13F exclusion. PNC itself files a Form 13F: for the quarter ended 30 June 2026 (filed 7 August 2026, CIK 0000713676), the filing reports 17,255 positions with a total reported value of $184,289,613,248. This is trust, custody, wealth management and asset management business conducted on behalf of clients, not PNC's own balance sheet, so under the brief's exclusion of client-held index-style positions no line item from it appears in holdings. The same logic that excludes JPMorgan's, Bank of America's, Goldman's, Wells Fargo's, Morgan Stanley's, Citigroup's, Schwab's and U.S. Bancorp's 13Fs from their own holdings files applies here.
- BlackRock, established from PNC's own filings. PNC was for years one of BlackRock's largest shareholders and fully exited that position via a registered secondary offering and a repurchase by BlackRock in May 2020 (recorded in this project's blackrock.json). PNC's Q2 2026 10-Q and FY2025 10-K were both searched in full for 'BlackRock' and neither contains any mention of a BlackRock equity position, investment, or divestiture; the sole hit in either filing is a biographical note in the 2025 10-K that PNC's President, Mark Wiedman, previously spent 21 years at BlackRock before joining PNC in 2025. PNC's own filings are silent on any remaining BlackRock interest, which is consistent with full exit and no current stake. No BlackRock holding is recorded.
- Visa Class B-3, C and A shares are PNC's only named equity holding disclosed in its own filings. The Q2 2026 10-Q states an estimated $0.5 billion value for the Class B-3 shares (at cost, insignificant cost basis, illiquid and transfer-restricted) and approximately $0.3 billion fair value combined for the remaining Class C and Class A shares. Neither figure comes with a share count. During Q2 2026, PNC recognized a $448 million gain on participating in the Visa exchange program (converting a portion of Class B-2 into 0.9 million Class B-3 and 0.3 million Class C shares) and a $(85) million Visa Class B-3 derivative fair value adjustment tied to the pending Visa interchange litigation.
- Combined equity-investment balances that are NOT broken into named holdings. PNC's Q2 2026 10-Q Table 33 shows total equity investments of $11,735 million at 30 June 2026, split $5,881 million tax credit investments (including $4.7bn of low-income-housing tax credits and $0.1bn of new-markets tax credits, structured tax vehicles rather than strategic stakes, excluded per the brief) and $5,854 million 'private equity and other.' Within the latter, the private equity portfolio was $2.7 billion at fair value, of which $2.4 billion was invested directly 'in a variety of companies' (unnamed) and $0.3 billion indirectly through private equity funds; the remainder of the $5,854 million is the Visa shares above plus unnamed investments in affiliated and non-affiliated funds. Because no individual investee company is named or sized within the $2.4 billion direct private equity balance, no holding row is recorded for it: the combined figure is reported here and in unknowns rather than invented as sized positions.
- PNC has a single class of common stock ($5 par value, one vote per share) and no dual-class or founder-control structure. Insider ownership is immaterial: the proxy states beneficial ownership by every director and executive officer, individually and as a 28-person group, is less than 1% of outstanding common stock.
- Register reconciliation on Vanguard and BlackRock. PNC's 2026 proxy (based on Schedule 13G/A review as of 14 February 2026, share count as of 30 January 2026) reports The Vanguard Group at 37,000,468 shares (9.2%) and BlackRock, Inc. at 29,236,060 shares (7.2%), the only two holders it identifies as beneficially owning more than 5%. The register instead uses each manager's Q2 2026 Form 13F-HR (30 June 2026 position dates), which shows Vanguard's successor entities summing to 36,806,729 shares and BlackRock at 32,172,263 shares. The BlackRock 13F figure is meaningfully higher than the February 2026 13G figure, consistent with a position increase between those dates rather than a data error.
- Vanguard Group Inc (CIK 0000102909) filed 13F-NT (notice) rather than 13F-HR for the quarters ended 31 March 2026 and 30 June 2026, consistent with the January 2026 reorganisation of Vanguard's 13F filing structure referenced in this project's broadcom.json and jpmorgan.json. Per the brief, Vanguard is represented here as a single substituted row (sum of Vanguard Capital Management LLC and Vanguard Portfolio Management LLC) rather than listed multiple times.
- Percentages are computed by this research against 398,943,667 common shares outstanding as of 20 July 2026 (Q2 2026 10-Q cover page), except the two proxy-sourced insider rows, which use the proxy's own denominator of 403,512,812 shares as of 30 January 2026.
- Market capitalisation of $102.52 billion and the $255.20 share price are stockanalysis.com's figures as of 14 August 2026 (previous close). Cross-check: 398,943,667 shares x $255.20 implies approximately $101.8 billion, close to the reported $102.52 billion market cap (small difference consistent with a slightly different share count or rounding used by the data provider).
- Self-gate check: summing the twelve non-aggregate, non-insider register rows gives 159,171,497 shares against 398,943,667 shares outstanding, or 39.9%, within the expected 15 to 55 percent range for this register.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The exact number of Visa Class B-3, Class C and Class A shares PNC currently holds. PNC's 10-Q gives only estimated dollar values ($0.5bn for B-3, $0.3bn combined for C and A), not share counts or a stated B-2/B-3 to Class A conversion ratio (unlike JPMorgan's 10-Q, which discloses a 1.4953 ratio). Looked in Note on equity investments and the Visa exchange program disclosure in the Q2 2026 10-Q and the Visa Litigation note referenced in the 2025 10-K.
- The identities of the companies inside the $2.4 billion 'invested directly in a variety of companies' private equity balance at 30 June 2026, and the constituents of the remaining private equity funds and affiliated/non-affiliated fund investments. Neither the Q2 2026 10-Q nor the FY2025 10-K names any individual investee.
- Whether Vanguard-affiliated 13F filers other than Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Advisers Inc, Vanguard Fiduciary Trust Co, or Vanguard Global Advisers, all of which filed 13F-HR for Q2 2026) also hold PNC shares. Not checked individually within the time budget; if they do, the true Vanguard aggregate is somewhat higher than the 36,806,729 shares used here.
- PNC's Q3 2026 10-Q was not yet filed as of 17 August 2026 (checked against the EDGAR submissions feed for CIK 0000713676), so any equity investment activity in that quarter is not reflected.
- No Schedule 13D or 13G has been filed on PNC common stock since 14 November 2024, per the EDGAR filing index for CIK 0000713676, so the register leans on 13F data and the proxy's own summary of the most recent 13G/A filings (Vanguard, BlackRock) rather than a fresh independent 13G cross-check for 2026.
