The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 3,494 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
3,494 managers reported a position, together holding 1.03bn shares, or 75.1% of the company. The 40 largest are listed.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- PepsiCo has never filed Form 13F of any type. Its complete EDGAR filing history (submissions JSON, checked 17 August 2026) contains no 13F-HR or 13F-NT, consistent with PepsiCo not acting as an institutional investment manager. This is why the holdings side of this file is thin: it relies on the 10-K/10-Q for equity-investment disclosures rather than a 13F.
- Celsius Holdings is PepsiCo's only sourced non-controlled equity-style holding. The stake is held entirely as Series A and Series B convertible preferred stock, classified on PepsiCo's balance sheet as an available-for-sale debt security (not equity method, not common stock), with a combined Level 3 fair value of 1,453 million USD as of 13 June 2026. No filing states a preferred share count or an as-converted common-share ratio, so shares are left null with a modelled low/high range in the holdings row; see that row's method_note for the arithmetic.
- Cross-check on Celsius: Celsius Holdings' own 2026 DEF 14A (filed 14 April 2026) beneficial-ownership table lists common stockholders above 5 percent, and PepsiCo does not appear in it. This is consistent with PepsiCo's stake being entirely unconverted preferred stock with no current common-stock beneficial ownership to report, and with the absence of any Schedule 13D/13G filed by PepsiCo on Celsius.
- PepsiCo's balance sheet separately carries an 'Investments in Noncontrolled Affiliates' line of 2,180 million USD (27 Dec 2025) versus 2,038 million USD (28 Dec 2024). This is a combined balance covering PepsiCo's international noncontrolled bottling and food affiliates broadly (referenced qualitatively in the 10-K as affiliates in EMEA and AMESA/APAC segments); no single investee is named or sized separately in the 10-K or 10-Q, so per the brief's instruction this combined figure is not assigned to any individual holding. It is not treated as a holding here.
- PepsiCo also operates the North American Coffee Partnership, a ready-to-drink coffee joint venture with Starbucks, described qualitatively in the 10-K as a noncontrolled affiliate arrangement. No PepsiCo ownership percentage, share count or value specific to this venture is disclosed in the 10-K or 10-Q, and it is a co-owned operating venture rather than a stake in Starbucks' own equity, so it is not listed as a holding.
- Register: Vanguard and BlackRock disagreement, recorded rather than resolved. This register uses Vanguard's and BlackRock's own Form 13F-HR filings (138,483,870 shares as of 31 Dec 2025 for Vanguard; 118,281,854 shares as of 30 Jun 2026 for BlackRock). PepsiCo's 2026 proxy statement instead reports Vanguard at 137,677,940 shares (10.1 percent) and BlackRock at 111,846,376 shares (8.2 percent), both sourced to older Schedule 13G/A filings (Vanguard's dated 5 June 2025). The 13F figures are used here as they are more current and are the manager's own reporting, per the same approach used for other companies in this database.
- Percentages in the register are computed by this research against a stated share count, not taken from the filing itself (except where the source is the proxy's own beneficial-ownership percentages, which are reproduced as filed for Vanguard/BlackRock in the notes above but not used in the register rows). The 30 June 2026 13F rows use 1,364,891,558 shares outstanding as of 2 July 2026 (Q2 FY2026 10-Q cover). The Vanguard row (31 Dec 2025) uses 1,366,649,053 as of 23 January 2026 (FY2025 10-K cover). The insider rows (26 Feb 2026) use 1,366,940,965, the denominator the proxy itself states for its record date.
- PepsiCo has a single class of common stock, 1-2/3 cents par value. There is no dual-class structure and no founder control block.
- Institutional register rows (Vanguard through Elliott's 13F) together account for roughly 30.5 percent of shares outstanding (approximately 415.7 million of 1,364.9 million shares), based on the individual 13F figures summed here.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The exact number of Celsius preferred shares PepsiCo holds, and any as-converted common-share ratio. Searched the FY2025 10-K (Note 9) and Q2 FY2026 10-Q (Note 8) in full; both give dollar amounts invested and price-per-share at issuance but never a share count or explicit conversion ratio into Celsius common stock. A modelled range is provided in the holdings row instead.
- PepsiCo's Q3 FY2026 10-Q (covering the quarter ending on or about mid-September 2026) was not yet filed as of 17 August 2026, per the EDGAR submissions feed for CIK 0000077476. Any change in the Celsius position or new noncontrolled-affiliate activity during that quarter is not yet visible.
- Individual identities and sizes of the international bottling/food affiliates behind the 2,180 million USD combined 'Investments in Noncontrolled Affiliates' balance sheet line. The 10-K names no specific investee by ownership percentage or value; searched for 'Tingyi' and 'equity method investment' with no useful detail returned beyond a single generic reference.
- PepsiCo's percentage ownership interest in the North American Coffee Partnership (Starbucks ready-to-drink joint venture). Referenced qualitatively in the 10-K with no ownership percentage or value disclosed.
- Capital Research/Capital Group, T. Rowe Price and Norges Bank positions in PepsiCo were not checked within the time budget; the register is limited to the seven institutional 13F filers plus Elliott that were checked directly.
- Whether any Schedule 13D or 13G has been filed on PepsiCo common stock by any holder since the 2024 Boxed Inc.-related filings (unrelated to Celsius). Not separately re-verified beyond the SC 13G/A listing already visible in PepsiCo's own filing history, which showed nothing newer relevant to the Celsius or Elliott positions.
