The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 2,431 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
2,431 managers reported a position, together holding 626.6m shares, or 76.9% of the company. The 40 largest are listed.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Latest 10-K on EDGAR (checked against the submissions feed for CIK 0001327567 on 17 August 2026) is for fiscal year 2025, period ended 2025-07-31, filed 2025-08-29. Palo Alto's fiscal year ends 31 July, so the FY2026 10-K (period ending 2026-07-31) had not yet been filed as of 17 August 2026. The most recent filing overall is the Form 10-Q for the quarter ended 2026-04-30, filed 2026-06-03.
- Holdings are empty and that is the sourced finding, not a gap. The FY2025 Form 10-K (period ended 2025-07-31) and the Q3 FY2026 Form 10-Q (period ended 2026-04-30) were both searched for 'equity method', 'equity investment', 'non-marketable', 'measurement alternative', 'unrealized', 'strategic investment', 'privately held' and 'equity securities'. No equity-method or non-marketable strategic equity investment is disclosed on the balance sheet or in the fair-value hierarchy (the Level 3 recurring fair-value table is empty apart from a contingent-consideration liability from an acquisition). The one 'equity securities' line item is 'Marketable Equity Securities', explicitly described in both filings as money market funds ($944 million at 2026-04-30, $1.2 billion at 2025-07-31) included in cash and cash equivalents, which the brief excludes.
- Palo Alto Networks grows chiefly by outright, wholly owned acquisition, consistent with the brief: CyberArk Software Ltd. ($21.1 billion, cash plus 112 million PANW shares, completed 2026-02-11), Chronosphere, Protect AI, and Koi Security Ltd. (announced 2026-04-14) are all wholly owned subsidiaries and excluded from holdings.
- Palo Alto Networks announced a $20 million corporate venture fund ('Palo Alto Networks Venture Fund', operated as Palo Alto Venture Partners) in June 2017, investing off the company's own balance sheet in early-stage security startups. It is not mentioned anywhere in the FY2025 10-K or the FY2026 10-Q filings checked in this task, and no current portfolio company or size could be sourced from a filing. Not recorded as a holding; flagged in unknowns.
- Stock split timing versus the brief: the task brief states Palo Alto executed a stock split in 2025. Per EDGAR's dei:EntityCommonStockSharesOutstanding data, shares outstanding went from 328,100,000 (2024-11-13, Q1 FY2025 10-Q cover) to 662,100,000 (2025-02-07, Q2 FY2025 10-Q cover), a 2-for-1 split that took effect within Palo Alto's fiscal Q2 2025 (November 2024 to January 2025). This is commonly reported in the press as a 16 December 2024 split, not a 2025 split. In practice this does not create a basis-mixing problem here: every filing used in this file (the FY2025 10-K, all FY2026 10-Qs, the DEF 14A filed 2025-11-07, and every 13F for quarters from December 2025 through June 2026) post-dates the split, so the whole register is already on one consistent, post-split share basis.
- Register denominators: 9 of the 10 institutional rows (BlackRock, State Street, Morgan Stanley, Bank of America, JPMorgan, FMR, Geode, Norges Bank, UBS) use their own Form 13F-HR for the quarter ended 2026-06-30, and are measured against 815,000,000 shares outstanding as of 2026-05-26 (the Q3 FY2026 10-Q cover page, filed 2026-06-03), the closest official share count to that 13F date. Vanguard filed Form 13F-NT (notice only, no holdings) for the quarters ended 2026-03-31 and 2026-06-30, so its most recent Form 13F-HR is for the quarter ended 2025-12-31; that row is measured against 703,000,000 shares outstanding as of 2026-01-31 (the closest official count to 2025-12-31). The three insider rows use the proxy's own denominator, 673,720,207 shares outstanding at 2025-09-15.
- Palo Alto's 2025 DEF 14A (filed 2025-11-07) 5% Shareholders table reports The Vanguard Group at 55,137,000 shares (8.2%) and BlackRock, Inc. at 49,244,010 shares (7.3%), but the proxy's own footnotes source both figures to Schedule 13G/A filings from 13 February 2024 and 26 January 2024 respectively, which predate the December 2024 stock split and are roughly 2.5 years stale as of this research. Those proxy figures are recorded here only as a note, not as register rows; the register instead uses each manager's own current Form 13F-HR (Vanguard 67,929,063 shares as of 2025-12-31; BlackRock 75,753,509 shares as of 2026-06-30).
- Nikesh Arora (Chair and CEO) and Nir Zuk (co-founder and CTO) are both listed individually as the closest thing Palo Alto Networks has to a founder-control story per the brief. Palo Alto has a single class of common stock, $0.0001 par value, one vote per share; there is no dual-class structure, so neither holder carries enhanced voting power.
- The 'All current directors and executive officers as a group (14 persons)' row (9,395,717 shares, proxy-rounded 1.4%) overlaps the individually listed insider rows (Arora, Zuk) above and must not be summed with them.
- Market capitalisation of $313.18 billion as of 2026-08-14 is from stockanalysis.com. Cross-check: 815,000,000 shares outstanding at roughly $384 per share implies approximately $313 billion, consistent.
- The 13F share values cluster tightly around $341 per share for the 2026-06-30 quarter end across BlackRock, State Street, Morgan Stanley, Bank of America, FMR, Geode, Norges Bank and UBS (each manager's own reported total value divided by its own reported share count). JPMorgan's implied price from its own 13F is about $332 per share, a modest outlier versus the others; recorded as filed rather than adjusted, since it is the manager's own reported figure.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether Palo Alto Networks holds any current equity or venture stake via the ~$20 million corporate venture fund announced in 2017. Searched the FY2025 10-K and the Q1, Q2 and Q3 FY2026 10-Qs (full text, via scripts/filing.py) for 'venture', 'equity method', 'non-marketable' and 'measurement alternative'; none appear. No current portfolio company or valuation could be sourced.
- Palo Alto's FY2026 10-K (period ending 2026-07-31) had not been filed as of 17 August 2026, per the EDGAR submissions feed for CIK 0001327567. Any equity investment or venture activity from fiscal Q4 2026 is not yet visible in any filed document.
- Exact (non-rounded) shares-outstanding counts for 2025-12-31 and 2026-06-30 could not be sourced. Palo Alto discloses shares outstanding only rounded to the nearest million on 10-Q cover pages and in the balance sheet equity line, so the pct_of_company denominators used for the register are the nearest available official counts (2026-01-31 and 2026-05-26 respectively), not same-date counts.
- Additional institutional holders beyond the 10 checked (e.g. Capital Research/Capital Group, T. Rowe Price, Wellington Management, Invesco, Northern Trust, Bank of New York Mellon) were not individually verified against their own 13F filings within the time budget; the register here is not an exhaustive full ranking of all PANW institutional holders, though the 10 rows plus 3 insider rows exceed the brief's 8-12 target.
