Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- KLA effected a ten-for-one stock split of its common stock on 11 June 2026, per the FY2026 10-K (period ended 30 June 2026, filed 6 August 2026). All figures dated 30 June 2026 or later in this file (shares_outstanding, the BlackRock/State Street/FMR/Geode/Morgan Stanley/JPMorgan 13F rows) are on the post-split basis. Figures dated before 11 June 2026 (Vanguard's 13F as of 31 December 2025, the September 2025 proxy's insider rows and its Vanguard/BlackRock principal-stockholder disclosures) are on the pre-split basis and are NOT directly comparable share counts to the post-split rows without a 10x adjustment, which this file does not perform since that would not be a filed number.
- shares_outstanding (1,306,546,783) is the 10-K cover-page figure, stated as of 3 August 2026 (post-split). The balance sheet separately shows 1,306,983 thousand shares issued and outstanding as of 30 June 2026, consistent with the cover-page figure.
- KLA does not file Form 13F. The complete EDGAR filing history (submissions JSON for CIK 0000319201, checked 17 August 2026) contains no 13F-HR or 13F-NT filing of any vintage, consistent with KLA not acting as an institutional investment manager.
- Holdings: the FY2026 10-K (period ended 30 June 2026, filed 6 August 2026) was fetched and searched in full for 'equity method', 'equity investment', 'non-marketable', 'measurement alternative', 'unrealized', 'strategic investment', 'joint venture' and 'privately held'. 'Equity method' and 'joint venture' returned zero hits; KLA does not appear to hold any equity-method investee or joint-venture interest. The filing does disclose one marketable equity security (a Japan-listed company, publicly traded on the Tokyo Stock Exchange since 5 April 2021), fair value $46.8 million as of 30 June 2026, cost $22.9 million; this is recorded as a holding with an undisclosed target name, since the 10-K never names the issuer and a web search did not identify it within the time budget.
- KLA also holds non-marketable equity securities in privately held companies, accounted for under the measurement alternative (cost minus impairment, plus or minus observable price changes), per the accounting-policy note. A Schedule 13G/A (Amendment No. 14) that Vanguard filed on 27 March 2026 reports 0 shares and 0 percent as of 13 March 2026, with a comment stating that on 12 January 2026 Vanguard underwent an internal realignment under which subsidiaries formerly deemed to share beneficial ownership with The Vanguard Group, Inc. now report separately on a disaggregated basis; this explains why Vanguard filed 13F-NT (notice only) rather than 13F-HR for the quarters ended 31 March and 30 June 2026. A separate Schedule 13G filed 30 April 2026 by 'Vanguard Capital Management' (same Malvern, PA address) reports 9,822,421 shares and 7.49 percent as of 31 March 2026; that percentage does not reconcile against either the pre-split or post-split share count and appears to use a different, unidentified denominator, so it is not used in the register.
- BlackRock disagreement, recorded rather than resolved. The register uses BlackRock, Inc.'s own Form 13F-HR for the quarter ended 30 June 2026 (CIK 0002012383): 126,198,653 shares, post-split. KLA's September 2025 proxy instead reports BlackRock at 11,584,889 shares (8.8 percent of 131,684,530 shares outstanding as of 10 Sept 2025, pre-split), sourced to a 13F-HR filed 12 August 2025 for the quarter ended 30 June 2025.
- KLA has a single class of common stock, $0.001 par value, per the FY2026 10-K cover page and balance sheet. There is no dual-class structure and no founder-control block; the CEO/Chairman roles are separated (Richard Wallace is CEO, Robert Calderoni is independent non-executive Chairman), and the individually named insiders each hold well under 1 percent of the company.
- All six 30 June 2026 13F rows imply a per-share price of roughly $301 to $302 (e.g. BlackRock: $38,075,395,547 / 126,198,653 = $301.87), except JPMorgan's common-stock lines, which imply about $278; this is each manager's own reported market value and was not adjusted.
- Market capitalisation of $266.17 billion is the figure published on the source page as of 14 August 2026.

Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The identity of the single Japan-listed marketable equity security described in Item 7A and Note 5 of the FY2026 10-K (fair value $46.8 million as of 30 June 2026, IPO'd on the Tokyo Stock Exchange 5 April 2021). Searched the 10-K's full text (no company name given anywhere) and the open web (no matching disclosure or news coverage found) within the time budget.
- The dollar size of KLA's non-marketable equity securities in privately held companies. The accounting policy is disclosed (measurement alternative) but no note-level dollar balance is given; it is folded into an undifferentiated 'Other non-current assets' residual line ($175.195 million FY2026) alongside unspecified other items.
- KLA's Q1 FY2027 10-Q, covering the quarter ending on or about September 2026, was not yet filed as of 17 August 2026 (checked against the EDGAR submissions feed for CIK 0000319201). Any equity position taken or changed during that quarter, including any update to the Tokyo Stock Exchange security's fair value, would not yet be visible.
- Which specific entity within the Vanguard fund complex (The Vanguard Group under CIK 0000102909, versus 'Vanguard Capital Management' or another disaggregated reporting entity created after Vanguard's 12 January 2026 internal realignment) held the Vanguard-managed KLA position for the quarters ended 31 March 2026 and 30 June 2026. Not identified within the time budget.
- The correct denominator or basis behind 'Vanguard Capital Management''s Schedule 13G filed 30 April 2026 (9,822,421 shares, stated as 7.49 percent as of 31 March 2026): this does not reconcile against either the pre-split (131 million) or post-split (1.3 billion) share count.
