The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,913 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,913 managers reported a position, together holding 241.3m shares, or 84.7% of the company. The 40 largest are listed.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- ITW's holdings list is empty and that is the sourced finding, not a gap. The FY2025 Form 10-K (period ended 31 December 2025, filed 13 February 2026) and the Q2 FY2026 Form 10-Q (period ended 30 June 2026, filed 6 August 2026) were both fetched and searched: the 10-Q contains zero hits for 'equity method', 'unconsolidated', 'non-marketable', 'measurement alternative' or 'joint venture', and the balance-sheet 'Other assets' breakdown in the 10-K (life insurance cash surrender value, prepaid pension assets, operating lease right-of-use assets, customer tooling, prepaid postretirement assets) contains no equity-investment line. ITW's only equity method investment on record, its noncontrolling interest in Wilsonart International Holdings LLC, was sold in full to affiliates of Clayton, Dubilier & Rice on 5 August 2024 for $398 million (pre-tax gain of $363 million); the FY2025 10-K reports zero equity income from Wilsonart in 2023, 2024 and 2025, confirming no residual position. ITW's growth model is bolt-on acquisition into wholly owned subsidiaries, not minority equity stakes, consistent with an empty list.
- ITW's complete EDGAR filing history (submissions JSON for CIK 0000049826, checked 17 August 2026, 1,000 most recent filings) contains no 13F-HR or 13F-NT of any vintage, consistent with it not acting as an institutional investment manager.
- Vanguard, BlackRock and Briar Hall Management LLC each have two data points in ITW's own DEF 14A (filed 27 March 2026) that disagree with their own 13F-HR filings, because the proxy's 'Principal Stockholders' table applies old Schedule 13G/A share counts against a fresh March 2026 share-outstanding denominator. The register above uses each filer's own most recent Form 13F-HR instead, and records the disagreement here: proxy cites Vanguard at 26,158,849 shares / 9.1% from a 13G/A filed 4 October 2024 (13F used instead: 26,887,218 as of 31 December 2025); proxy cites BlackRock at 21,203,045 shares / 7.4% from a 13G/A filed 26 January 2024 (13F used instead: 23,279,289 as of 30 June 2026); proxy cites Briar Hall at 25,850,978 shares / 8.9% from a Schedule 13G filed 13 February 2026 (13F used instead: 25,811,219 as of 30 June 2026, a small and expected difference given the roughly 4.5 month gap between the two filings).
- State Farm Mutual Automobile Insurance Company has held a large, stable ITW position for many years (state farm has filed a Schedule 13G/A on ITW every year from at least 2020 to 2024 per ITW's EDGAR filing index); it is classified here as 'strategic' rather than 'active' because it is an insurer's own general-account holding, not diversified asset management on behalf of third-party clients, and it has been consistently 7 to 8 percent of the company across the entire filing history reviewed.
- ITW has a single class of common stock; the DEF 14A confirms no dual-class structure and no enhanced insider voting rights. The Smith family's influence runs through the Briar Hall Management LLC holding (8.9 to 9.1 percent depending on filing date) rather than through the operating officer or director roles: none of the current named executive officers is a Smith family member per the proxy's own biographies.
- Percentages are computed by this research against stated share counts, not taken from a filing, except where a filing states its own percentage (Vanguard, Briar Hall, State Farm, BlackRock in the proxy table, all noted above). The 30 June 2026 13F rows and the Briar Hall and State Farm 13F rows use 284,800,000 shares outstanding as of 30 June 2026 (Q2 FY2026 10-Q cover, dei:EntityCommonStockSharesOutstanding). The Vanguard row (31 December 2025) uses 288,200,000 as of 31 January 2026 (FY2025 10-K cover). The insider rows use 288,078,076 as of 9 March 2026, the denominator the proxy itself uses.
- Market capitalization of $82.82 billion is the figure published on stockanalysis.com as of 14 August 2026 (share price $290.81). Cross-check: 284,800,000 shares at $290.81 implies approximately $82.80 billion, consistent to three significant figures.
- Self-gate check: summing shares for the 9 institutional/strategic register rows that are neither proxy-layer members nor the proxy aggregate (Vanguard, Briar Hall, BlackRock, State Farm, State Street, Geode, Morgan Stanley, JPMorgan, FMR) gives 124,061,371 shares, 43.56 percent of the 284,800,000 shares outstanding, within the 15 to 55 percent expected range.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether David B. Smith, Jr. (ITW director since 2009) is personally a member of the Smith family that founded ITW and controls Briar Hall Management LLC. Checked his biography in the DEF 14A filed 27 March 2026 (Executive Vice President for Policy and Legal Affairs and General Counsel of the Mutual Fund Directors Forum, prior SEC staff positions); it states no family relationship to the founders. Not asserted here despite the surname match.
- The counterparty and nature of any position behind ITW's 'purchases of investments' and 'sales of investments' cash-flow lines, if any exist in the current fiscal year. The Q2 FY2026 10-Q and FY2025 10-K full text were searched and neither statement of cash flows presents an investing-activity line by that name in the current period; this is recorded as an open item rather than a confirmed zero because the cash flow statement excerpt captured by this research may not be exhaustive.
- Any equity or minority stake ITW may hold in private companies or suppliers acquired through its Enterprise Strategy or 80/20 Front to Back initiatives. Searched the FY2025 10-K and Q2 FY2026 10-Q for 'equity method', 'non-marketable', 'measurement alternative', 'unrealized gains' and 'joint venture'; none returned a hit outside the closed Wilsonart position.
- Capital Research/Capital Group, T. Rowe Price and Norges Bank positions in ITW were not sourced within the time budget: their correct current 13F-filer CIKs were not identified and are not part of the brief's named manager list.
- Whether any Schedule 13D/13G has been filed on ITW common stock more recently than the Briar Hall Schedule 13G of 13 February 2026, which is the most recent such filing found in ITW's own EDGAR filing index as of 17 August 2026.
