The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 2,004 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
2,004 managers reported a position, together holding 187.1m shares, or 79.1% of the company. The 40 largest are listed.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- The separation is complete, not pending. FedEx's FY2026 10-K (period ended 31 May 2026, filed 20 July 2026) reports it as a subsequent event: on 1 June 2026 (the Distribution Date) FedEx completed the spin-off of FedEx Freight Holding Company, Inc., distributing 80.1 percent of FedEx Freight Holding's outstanding shares pro rata to FedEx stockholders (one FedEx Freight share per two FedEx shares held as of the 15 May 2026 record date). FedEx Freight began regular-way trading on the NYSE as FDXF on 1 June 2026. FedEx retained 19.9 percent of FedEx Freight Holding's outstanding shares, recorded as the sole entry in holdings above.
- FedEx explicitly does not intend to keep the retained 19.9 percent. Per the 10-K: 'We expect to fully monetize our remaining stake in FedEx Freight Holding within 24 months of the Distribution Date, subject to market conditions,' and the completion press release states the disposal will occur 'through one or more subsequent exchanges in repayment of certain FedEx debt held by FedEx creditors and/or through distributions to stockholders of FedEx as dividends or in exchange for outstanding shares of FedEx common stock.' This is the standard tax-free-spin-off mechanic (dispose of the retained block within roughly 24 months to preserve tax-free treatment under U.S. federal income tax rules), not a strategic long-term holding. As of the most recent filings checked (FedEx Freight Holding's 10-K filed 5 August 2026), no disposition had yet occurred: FedEx's 29,751,545 shares as of the 1 June 2026 Form 4 were still assumed held as of the 27 July 2026 table date.
- FedEx has agreed, per the Stockholder and Registration Rights Agreement entered into as part of the separation, to vote any FedEx Freight Holding shares it retains after the spin-off in proportion to the votes cast by FedEx Freight's other stockholders (mirror voting), so the retained 19.9 percent stake carries no incremental control over FedEx Freight.
- FedEx's own shares outstanding were not materially affected by the spin-off (a spin-off distributes shares of the subsidiary, it does not change the parent's own share count, unlike a stock split). FedEx reported 235,948,121 shares outstanding on 4 August 2025 (pre-spin-off, per the August 2025 DEF 14A) and 236,581,188 shares outstanding on 16 July 2026 (post-spin-off, per the FY2026 10-K cover), a normal small change consistent with ongoing equity compensation issuance and share repurchases, not a restatement. Unlike the Honeywell case in this database, no share-count basis conversion was needed across register rows: proxy-dated rows use the 4 August 2025 denominator and 13F-dated rows use the 16 July 2026 denominator, and no row's shares were rescaled.
- FedEx's Note 18 (Investments) in the FY2026 10-K discloses a combined balance of equity securities held in 'Other assets': $102 million with readily determinable fair values, $60 million without readily determinable fair values under the NAV practical expedient, and $402 million without readily determinable fair values under the measurement alternative, totaling $564 million at 31 May 2026 (versus $506 million at 31 May 2025). No individual investee is named for any of these three components. Per this database's rule against sizing an individual holding from a combined balance, none of this $564 million is recorded as a holding row; it is logged here and in unknowns instead.
- No Schedule 13D or 13G/13G-A has been filed against FedEx common stock since 13 February 2024, per the EDGAR filing history for CIK 0001048911 checked through 17 August 2026. The institutional register rows above therefore all rely on Q2 FY2026 (30 June 2026) Form 13F-HR filings, which are fresher than the stale 13G citations in FedEx's own August 2025 proxy (Vanguard as of 31 March 2025, BlackRock as of 31 December 2023, Dodge & Cox as of 31 December 2023, PRIMECAP as of 31 March 2025); this register uses each manager's own current 13F-HR instead of those proxy-cited 13G figures.
- FedEx has a single class of common stock, par value $0.10 per share, one vote per share; no non-voting stock and no Class A/B structure, per the FY2026 10-K cover page.
- market_cap_usd ($79.17 billion) and the underlying $334.64 share price are as published by stockanalysis.com on 14 August 2026 (aggregator, not a filing). Cross-check: $79.17bn divided by $334.64 implies about 236.6 million shares, consistent with the filed count of 236,581,188.
- FedEx's registrant name in EDGAR remains 'FedEx Corporation'; FedEx Freight Holding Company, Inc. is registered as a new, separate CIK (0002082247) with its own 13F-eligible shareholder base, but as a company with under $100 million typically managed per institution it is not itself the subject of this file. Institutional 13F filers that hold both stocks (BlackRock, Geode, FMR, Morgan Stanley, JPMorgan, Dodge & Cox, PRIMECAP, Vanguard Capital Management) report FedEx Freight Holding under a separate CUSIP (314352105); those FDXF-CUSIP lines were excluded from every register row above, which counts only CUSIP 31428X106 (FEDEX CORP common stock).
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether FedEx has begun disposing of its 19.9 percent FedEx Freight Holding stake since the FY2026 10-K (filed 20 July 2026) and FedEx Freight's own 10-K (filed 5 August 2026), both of which show the position unchanged at 29,751,545 shares. No subsequent 8-K or Form 4 disclosing a disposition was located as of 17 August 2026; the 24-month monetization window runs to roughly June 2028.
- The composition of the $564 million combined equity-securities balance in FedEx's Note 18 (Investments): no investee is named for any of the three sub-balances ($102 million readily-determinable, $60 million NAV expedient, $402 million measurement alternative). Searched the full FY2026 10-K for 'equity method', 'joint venture', 'unconsolidated' and 'non-marketable'; none of these terms appear, and no supporting schedule breaks the balance out by counterparty.
- An updated FedEx proxy statement reflecting the post-spin-off, post-Frederick-Smith-death ownership structure. The most recent DEF 14A is dated 18 August 2025 (for the 29 September 2025 annual meeting), which predates both Mr. Smith's death being reflected in a beneficial-ownership table update and the June 2026 spin-off; no 2026 DEF 14A had been filed as of 17 August 2026.
- The unexplained gap between the proxy's stated 7.47 percent for the Estate of Frederick W. Smith and the 7.64 percent this research computes from the proxy's own stated share count (18,032,385) and share-outstanding denominator (235,948,121). Both figures are recorded in the register row's method_note; no alternate denominator that reconciles them was found in the filing.
- Current holdings of other large active managers not in the brief's required list or the proxy's named 5-percent holders (for example Capital Research/Capital Group, T. Rowe Price, Wellington, Norges Bank). The time budget was spent confirming the separation mechanics (the specific risk flagged for this company), the FedEx Freight retained-stake sizing, and the eleven register rows above rather than exhaustively surveying every possible filer.
- A market-based, rather than book, valuation trend for the retained FedEx Freight stake since 1 June 2026. Only the single 14 August 2026 FDXF closing price (stockanalysis.com) was checked; no filed fair-value remeasurement of the stake at a FedEx reporting date after the Distribution Date has yet been published, since FedEx's Q1 FY2027 10-Q (covering the quarter includes the stake at fair value under ASC 321) had not been filed as of 17 August 2026.
