Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Booking Holdings effected a 25-for-1 forward stock split on 2 April 2026, approved by the Board in January 2026. This is essential context: the task brief's working assumption that Booking's share count is 'well under 40 million' describes the PRE-split company. The pre-split count was 31,673,346 shares at 10 Feb 2026 (FY2025 10-K cover) and 31,327,662 shares at 16 Mar 2026 (2026 proxy record date, later restated by the proxy itself to 783,191,550 post-split shares). The current, authoritative, post-split figure used throughout this file is 751,380,500 shares outstanding at 27 Jul 2026, from the Q2 FY2026 10-Q cover page filed 4 Aug 2026, the most recent filing as of 17 Aug 2026. All 13F rows in this register are for the quarter ended 30 Jun 2026, after the split, so they are already reported on a post-split share basis and required no adjustment.
- Booking Holdings does not file Form 13F. Its EDGAR filing history (submissions JSON, checked 17 Aug 2026) contains no 13F-HR of any vintage under CIK 0001075531, consistent with it not acting as an institutional investment manager (unlike Uber, which does file its own 13F because it holds a large post-divestiture equity portfolio).
- Vanguard's own 13F filer, The Vanguard Group (CIK 0000102909), filed Form 13F-NT (a notice with no holdings) for the quarter ended 30 Jun 2026. Booking's own 2026 proxy explains why: a January 2026 internal Vanguard reorganisation means 'certain subsidiaries or business divisions of subsidiaries of Vanguard ... will report beneficial ownership separately (on a disaggregated basis)'. This file substitutes one of the new post-reorganisation Vanguard entities, Vanguard Capital Management LLC (CIK 0002100119, 50,606,248 shares), per the brief's instruction never to list Vanguard twice. A second new Vanguard entity, Vanguard Portfolio Management LLC (CIK 0002100121), separately reported 14,456,785 Booking shares for the same quarter, and at least three more newly registered Vanguard-affiliated filers (Vanguard Fiduciary Trust Co, Vanguard National Trust Co, Vanguard Personalized Indexing Management LLC) also filed 13F-HR for this quarter without being individually checked here. Vanguard's true aggregate Booking position is therefore materially larger than the single row shown.
- Booking's 2026 proxy beneficial ownership table itself uses stale Schedule 13G/A data rather than 13F data for its two largest holders: it cites Vanguard at 73,547,925 shares (9.4%) from a 13 Feb 2024 Schedule 13G/A, and BlackRock at 64,338,300 shares (8.2%) from a 26 Jan 2024 Schedule 13G/A (both figures the proxy itself retroactively adjusted for the 25-for-1 split). These are recorded here for reference but not used in the register, which instead uses each manager's own fresher 30 Jun 2026 Form 13F-HR. BlackRock's 13F figure (65,340,562 shares) is close to its 2024-vintage 13G figure; Vanguard's disaggregated 13F figure is, expectedly, well below its old consolidated 13G figure because the reorganisation split Vanguard's position across multiple filers.
- Booking's holdings are all small relative to the company: total long-term investments were $448 million at 30 Jun 2026 against $29.7 billion of total assets, split between $296 million of equity securities with readily determinable fair values (Grab and DiDi, per the FY2025 10-K, plus any other unnamed positions in that bucket) and $152 million of equity securities of private entities (including Yanolja). No 10-Q since the FY2025 10-K names Grab, DiDi, or Yanolja individually; both interim 10-Qs checked (Q1 and Q2 FY2026) give only the combined category totals, so the sourced named figures in this file are dated 31 Dec 2025, the FY2025 10-K's balance sheet date, even though the combined totals have since moved (down from $428 million and $154 million respectively at 31 Dec 2025, to $296 million and $152 million at 30 Jun 2026).
- Meituan is excluded from holdings: the FY2025 10-K states Booking sold its entire investment in Meituan for $1.7 billion during the year ended 31 Dec 2023, resulting in a $149 million loss on a $450 million cost basis. This is a closed, fully divested position, not a current holding.
- No convertible note or warrant position was found converting into a current equity holding. Booking's own convertible senior notes (matured May 2025) are a liability of Booking, not an asset; they are debt Booking owes, not equity Booking owns in someone else, and are excluded from holdings for that reason.
- Wholly owned operating subsidiaries, Booking.com, Priceline, Agoda, KAYAK, and OpenTable, are excluded from holdings per the brief.
- Booking Holdings has a single class of common stock, one vote per share. Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Ownership percentage and share count for Booking's stakes in Grab and DiDi. Only fair values ($211 million and $207 million respectively at 31 Dec 2025) are disclosed in the FY2025 10-K; Booking has never filed a Schedule 13D or 13G on either company (checked EDGAR full text search for Booking Holdings among Grab and DiDi related Schedule 13G filers, 2024 to 2026: no hits), consistent with each stake being below the 5% disclosure threshold, but that means no independent share count exists to source.
- Share count and ownership percentage for the Yanolja private-company stake. The FY2025 10-K gives only an adjusted carrying value ($98 million at 31 Dec 2025) under the measurement alternative; Yanolja is a private South Korean company with no public share registry to check.
- The composition of Booking's combined 'equity securities with readily determinable fair values' ($296 million at 30 Jun 2026) and 'equity securities of private entities' ($152 million at 30 Jun 2026) buckets beyond Grab, DiDi, and Yanolja.
